The principal purposes of this offering are to obtain additional capital to support our operations, to create a public market for our common stock and to facilitate our future access to the public equity markets. As of June 30, 2015, we had cash and cash equivalents of $6.1 million. We plan to use the net proceeds from this offering, together with our existing cash and cash equivalents, as follows: approximately $9.0 million to fund the costs of our Phase 2 clinical development of CERC-301; approximately $7.0 million to fund the costs of our Phase 2 clinical development of CERC-501; approximately $1.5 million to fund research and development, and to advance our pipeline of preclinical lead candidates, under the COMTi platform, including the selection of additional candidates and preclinical research for CERC-406; and the remainder for working capital, general corporate purposes and potential in-licensing or other acquisitions.
